These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Quinoa Asset Managers Limited (“Quinoa”, “we”, “our”, or “us”), including investment management, advisory services, and related offerings.
By engaging our services or using our website, you agree to be bound by these Terms.
2. Services
Quinoa provides the following services:
- Discretionary Portfolio Management: We make investment decisions on your behalf in line with an agreed mandate.
- Non-Discretionary / Advisory Services: We provide investment recommendations, and execution remains subject to your approval.
- Investment Structuring and Advisory: Tailored solutions across equities, fixed income, and alternative investments.
All services are subject to separate agreements, mandates, and regulatory requirements.
3. Client Onboarding & KYC
You agree to:
- Provide accurate and complete information during onboarding
- Submit all required identification and compliance documentation
- Notify us promptly of any changes to your information
We reserve the right to decline or terminate relationships where KYC/AML requirements are not satisfied.
4. Investment Risks
You acknowledge that:
- Investments are subject to market risks and volatility
- Past performance is not indicative of future results
- There is no guarantee of returns or capital preservation unless explicitly stated
Quinoa shall not be liable for losses arising from market conditions or investment risks inherent in the asset class.
5. Client Instructions
- Instructions must be provided through agreed communication channels
- Quinoa is entitled to rely on instructions believed to be genuine
- We are not responsible for delays or errors arising from incomplete or unclear instructions
6. Fees and Charges
- Fees may include management fees, advisory fees, performance fees, and transaction costs
- Fee structures will be outlined in client agreements or mandate documents
- You authorize us to deduct applicable fees from your portfolio where agreed
7. Conflicts of Interest
Quinoa maintains policies to identify and manage conflicts of interest. Where conflicts arise, we will:
- Act in the best interest of clients
- Disclose material conflicts where required
8. Confidentiality
We will treat all client information as confidential and will not disclose it except:
- As required by law or regulation
- To service providers or partners under confidentiality obligations
9. Data Protection
Your personal data will be processed in accordance with our Privacy Policy and applicable data protection laws.
10. Third-Party Service Providers
We may engage third parties (e.g., custodians, brokers, technology providers). We are not liable for the acts or omissions of such third parties, except as required by law.
11. Limitation of Liability
To the extent permitted by law:
- Quinoa shall not be liable for indirect, incidental, or consequential losses
- Our liability shall be limited to losses directly attributable to gross negligence, wilful misconduct, or fraud
12. Termination
Either party may terminate the relationship:
- In accordance with agreed notice periods
- Immediately in cases of breach, regulatory concerns, or unlawful activity
Upon termination:
- Investments may be liquidated or transferred as instructed
- Outstanding fees become payable
13. Intellectual Property
All content, materials, and proprietary tools provided by Quinoa remain our intellectual property and may not be reproduced without consent.
14. Website Use
By using our website, you agree:
- Not to misuse, disrupt, or attempt unauthorized access
- That content is for informational purposes only and does not constitute investment advice unless expressly stated
15. Regulatory Compliance
Quinoa operates in compliance with applicable laws and regulations, including those issued by the Securities and Exchange Commission (SEC) Nigeria and other relevant authorities.
16. Force Majeure
Quinoa shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, regulatory changes, or system failures.
17. Amendments
We may update these Terms from time to time. Updates will be communicated via our website or directly to clients where necessary.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
19. Dispute Resolution
Any dispute arising from these Terms shall be resolved through:
- Good faith negotiations, failing which
- Arbitration in accordance with applicable Nigerian arbitration laws
